All products are supplied strictly as research materials for qualified professionals. They are not drugs, supplements, or food, and are not for any in vivo use.

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the website at synthetixlabs.com (the “Site”) and any purchase of products from Synthetix Labs (“Synthetix Labs,” “we,” “us,” or “our”). By accessing the Site, placing an order, or otherwise using our services, you (“you,” “Customer,” or “Buyer”) agree to be bound by these Terms and by our Research Use Only Disclaimer and Privacy Policy, each of which is incorporated by reference. If you do not agree, do not use the Site or purchase our products.

2. Nature of Products; Research Use Only

● All products are supplied strictly as research chemicals and reference materials intended solely for laboratory research and development by qualified persons.

● Products are NOT drugs, foods, dietary supplements, cosmetics, or medical devices, and have not been approved or evaluated by the U.S. Food and Drug Administration (FDA) or any other authority.

● Products are NOT intended, labeled, or sold for human or veterinary consumption, ingestion, injection, inhalation, topical application, or for the diagnosis, treatment, cure, mitigation, or prevention of any disease or condition, or for any use in humans or animals.

● No statement on the Site is intended as a medical or health claim. Any prohibited use is outside the scope of the limited license granted by these Terms.

3. Eligibility

● You must be at least 18 years of age and of the age of majority in your jurisdiction to use the Site or purchase products.

● We sell and ship within the United States only. You represent that your billing and shipping addresses are within the United States.

● By placing an order, you represent and warrant that you are acquiring products for lawful laboratory research purposes only, that you are qualified and trained to handle research chemicals safely, and that you will not use or resell products in any manner inconsistent with these Terms.

4. Buyer Acknowledgments and Assumption of Risk

● You acknowledge that research chemicals may be hazardous, that their properties may not be fully characterized, and that they must be handled only by qualified professionals using appropriate protocols, equipment, and safety measures.

● You assume all risk and responsibility arising from your possession, handling, storage, use, and disposal of products.

● Any use of a product contrary to its research-use-only designation is undertaken entirely at your own risk and voids any and all warranties and remedies.

5. No Professional Advice

Content on the Site is provided for general informational purposes only and does not constitute medical, legal, scientific, or other professional advice. You should consult appropriately qualified professionals.

6. Orders, Pricing, and Acceptance

● All orders are offers to purchase and are subject to our acceptance. We may refuse, cancel, or limit any order for any reason, including suspected misuse, resale, or violation of these Terms.

● Prices, availability, and specifications may change without notice. We are not liable for typographical errors and may correct them and cancel affected orders.

● Payment must be received and cleared before products are shipped.

7. Shipping and Risk of Loss

● We ship within the United States only. Title and risk of loss pass to you upon our delivery of the products to the carrier.

● You are solely responsible for determining the legal status of any product in your jurisdiction before ordering, and for complying with all laws applicable to your receipt and possession of the products.

8. Returns and Refunds

● Due to the nature of the products, all sales are final and we do not accept returns.

● Refunds or replacements may be provided at our sole discretion, on a case-by-case basis, only where products arrive damaged or defective or an incorrect item was shipped, and only if you notify us at support@synthetixslabs.com within 3 days of delivery with your order number and supporting photographs.

● No refund or replacement will be provided for products that have been opened, used, mishandled, or improperly stored, or for any issue arising from use inconsistent with these Terms.

9. Product Testing, COAs, and Specifications

● Where a Certificate of Analysis (COA) or purity value is provided, it reflects analytical testing of a specific sample or lot at the time of testing and is subject to the tolerances and limitations of the methods used.

● Reported values are estimates within method-specific margins and are not a guarantee that any individual unit conforms exactly to the reported figure, nor a guarantee of fitness for any particular purpose.

● Product integrity after delivery depends on conditions outside our control, including your storage and handling. We make no representation regarding a product’s stability or characteristics after title passes to you.

10. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED, ALL PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that products will meet your requirements or that the Site will be uninterrupted or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SYNTHETIX LABS OR ITS PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE PRODUCTS, THE SITE, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SYNTHETIX LABS AND ITS PARTNERS FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, fraud, or willful misconduct. These limitations are governed by California law and apply only to the extent permitted by it.

12. Indemnification

You agree to indemnify, defend, and hold harmless Synthetix Labs and its partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) your use, handling, storage, resale, or disposal of products;

(b) your breach of these Terms;

(c) your violation of any law or the rights of any third party; or

(d) any use of a product inconsistent with its research-use-only designation.

13. Compliance with Laws

You are solely responsible for complying with all applicable federal, state, and local laws and regulations relating to your purchase, possession, and use of the products.

14. Intellectual Property

All content on the Site, including text, graphics, logos, and images, is owned by or licensed to Synthetix Labs and is protected by applicable laws. You may not copy or use it without our prior written permission.

15. Privacy

Your use of the Site is also governed by our Privacy Policy, available on the Site, which is incorporated into these Terms by reference.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to Section 17, the exclusive venue for any dispute not resolved by arbitration will be the state or federal courts located in Los Angeles County, California.

17. Dispute Resolution; Arbitration; Class Action Waiver

● Informal Resolution First. Before starting any formal proceeding, you agree to contact us at support@synthetixslabs.com and attempt to resolve the dispute informally for at least 30 days.

● Binding Individual Arbitration. Any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court — except that either party may bring an individual claim in small-claims court.

● Class Action Waiver. You and Synthetix Labs agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

● Public Injunctive Relief. Consistent with California law (McGill v. Citibank), nothing in these Terms waives any right to seek public injunctive relief, and any such claim will be heard in court rather than in arbitration.

● Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@synthetixslabs.com within 30 days of first accepting these Terms.

18. Changes to These Terms

We may update these Terms at any time by posting a revised version on the Site with a new effective date. Your continued use of the Site or purchase of products after changes take effect constitutes acceptance.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and us regarding their subject matter. Our failure to enforce any provision is not a waiver of our right to do so later.
